1. Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Tarvico Inc., a Delaware, USA corporation, which owns and operates the Maeyen platform through its operating subsidiary, Maeyen Technologies Nigeria Ltd. By creating an account, obtaining a Trust ID, or otherwise using Maeyen, you agree to these Terms on behalf of yourself or the business you represent.

If you do not agree to these Terms, do not use the platform. Tarvico Inc. may decline to provide the services to anyone at its discretion, subject to applicable law.

2. Who we are

Maeyen is the trust infrastructure for African commerce. It is not a marketplace-first company, a payment processor, or an escrow company — those are applications built on top of the platform. The core of the platform, operated by Tarvico Inc. and Maeyen Technologies Nigeria Ltd, is the Verified Commerce Graph: every important commerce action is recorded as a verified, immutable event.

References to “Maeyen”, “we”, “us”, and “our” in these Terms mean Tarvico Inc. and, where the context requires, Maeyen Technologies Nigeria Ltd.

3. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use Maeyen. You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity under your account. Tarvico Inc. may suspend or terminate accounts that provide false information or compromise the integrity of the platform.

4. Trust ID and verification

A Trust ID is a portable, verifiable identity issued on the platform. Identity and business verification may require government-issued identifiers, documents, or biometric checks processed through verification providers. You authorize Tarvico Inc. and its operating subsidiary to perform these checks and to record their outcomes as verified commerce events.

Verification statuses reflect the evidence available at the time and are not a guarantee, endorsement, or underwriting of any person or business by Tarvico Inc.

5. The Verified Commerce Graph

Every important commerce action on Maeyen — account creation, verification, protected transactions, payments, evidence, delivery, disputes, and reputation changes — is recorded as an append-only, immutable commerce event. You acknowledge that this history is never overwritten and that Tarvico Inc. relies on it to operate trust, reputation, fraud prevention, and dispute resolution.

6. Protected transactions and payments

Protected transactions hold funds until delivery is confirmed, following a server-validated transaction lifecycle. Payment collection is performed by third-party payment providers; Tarvico Inc. does not itself collect or store card numbers, CVV/CVC codes, or PINs.

All transaction state changes are validated server-side. Payment or transaction status displayed in any client application is informational only and does not bind Tarvico Inc. until confirmed by the platform's records.

7. Evidence, disputes, and resolution

Sellers and buyers may upload evidence — photos, receipts, delivery proof — which is stored as tamper-evident records. Disputes are resolved through a structured process against that evidence, and every decision is recorded and auditable. You agree that dispute outcomes reached under this process are final within the platform, without limiting any statutory rights you hold against Tarvico Inc. under applicable law.

8. Reputation

Reputation on Maeyen is derived from verified outcomes recorded in the Verified Commerce Graph, not from reviews that can be bought or faked. Reputation scores are calculated by Tarvico Inc.'s systems from your commerce history and will change as new verified events occur. Attempting to manipulate reputation is a material breach of these Terms.

9. Acceptable use

You agree not to: misrepresent your identity or business; list or sell illegal, counterfeit, or prohibited goods; manipulate transactions, evidence, or reputation; interfere with the platform's security or availability; scrape or resell platform data without authorization; or use Maeyen to defraud any person. Tarvico Inc. may remove content, restrict features, or terminate access for violations, and will record enforcement actions in the audit trail.

10. Marketplace and applications

Marketplace listings, merchant dashboards, payment links, and developer APIs are applications built on Maeyen infrastructure. Sellers are solely responsible for their listings, items, and fulfilment. Tarvico Inc. is not a party to the sale contract between buyer and seller; it provides the trust, payment-protection, and dispute infrastructure around that contract.

11. Developer APIs

Access to the Trust, Reputation, Verification, and Merchant APIs is subject to these Terms and any additional API terms Tarvico Inc. publishes. API credentials are confidential, rate limits must be respected, and data obtained through the APIs may only be used for the purpose for which access was granted.

12. Intellectual property

The platform, including the Maeyen name, brand, software, and the structure of the Verified Commerce Graph, is owned by Tarvico Inc. or its licensors. You retain ownership of content you upload, and you grant Tarvico Inc. a worldwide, non-exclusive license to host, process, and display that content as needed to operate the platform, including retaining evidence and commerce events as immutable records.

13. Disclaimers

The platform is provided “as is” and “as available”. To the fullest extent permitted by law, Tarvico Inc. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Tarvico Inc. does not warrant that any buyer, seller, or business on the platform will perform, or that verification eliminates the risk of fraud.

14. Limitation of liability

To the fullest extent permitted by law, Tarvico Inc. and Maeyen Technologies Nigeria Ltd will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the platform. The aggregate liability of Tarvico Inc. for all claims relating to the platform will not exceed the greater of the fees you paid to Tarvico Inc. in the twelve months before the claim or one hundred US dollars (USD $100). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Indemnity

You will indemnify and hold harmless Tarvico Inc., Maeyen Technologies Nigeria Ltd, and their officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your content, your listings, your breach of these Terms, or your violation of applicable law.

16. Suspension and termination

You may stop using Maeyen at any time. Tarvico Inc. may suspend or terminate your access for breach of these Terms, legal or regulatory reasons, or risk to the platform or its users. Commerce events, audit logs, and evidence connected to completed or disputed transactions are retained after termination as immutable records, consistent with the Privacy Policy and applicable law.

17. Changes to these Terms

Tarvico Inc. may update these Terms from time to time. Material changes will be announced on the platform or by email before they take effect. Continued use of Maeyen after the effective date constitutes acceptance of the updated Terms.

18. Governing law and disputes with us

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where the mandatory consumer protection law of your country of residence (including Nigeria) applies. Disputes with Tarvico Inc. that cannot be resolved informally will be brought in the courts of competent jurisdiction under that governing law.
